This Research Use Only Disclaimer applies to every product sold by Theorys Labs LLC under the Theorys Labs name, and to all content on theoryslabs.com — product pages, category pages, specifications, certificates of analysis, frequently-asked questions, emails and any other communication from us.

It binds everyone who visits the Site, acknowledges the research-use notice, creates an account, or buys from us. It is incorporated into the Terms of Service, and where anything else on the Site could be read as inconsistent with it, this document controls.

If you do not accept the restrictions in this document, do not order from Theorys Labs.

Our products are laboratory research chemicals. They are sold for use as reference materials and test articles in controlled laboratory settings — in-vitro work such as biochemical assays, analytical method development, receptor and binding studies, cell-free or cell-culture systems, and similar bench research — by people with the training, facilities and equipment to handle them safely.

They are not consumer products. They are not sold, supplied or intended for any personal use of any kind, and no product page, specification, published reference or support answer should be read as suggesting otherwise.

Products sold by Theorys Labs must never be:

• ingested, swallowed or otherwise consumed;
• injected by any route into any human or animal;
• inhaled, insufflated, vaporised or nebulised;
• applied topically or transdermally to any person or animal;
• implanted, instilled, infused or introduced into any human or animal by any other route;
• administered to any human or animal by any means whatsoever, including self-administration;
• used in human experimentation, or in any clinical, diagnostic or treatment activity;
• administered to, or used in, any live animal, including any veterinary application; or
• prepared, diluted, reconstituted, compounded, formulated, filled, repackaged or relabelled for any of the above.

This restriction applies regardless of who the recipient would be, regardless of consent, and regardless of the setting. It applies to you, to anyone in your organisation, and to anyone you transfer a product to — you must not supply a product to anyone who has not accepted the same restriction.

Products sold by Theorys Labs are not drugs, prescription medicines, over-the-counter medicines, dietary supplements, foods, food additives, beverages, cosmetics, or medical devices, and they are not compounded preparations. Theorys Labs is a supplier of laboratory research materials. We are not a pharmacy, a compounding pharmacy, an outsourcing facility, a drug manufacturer, a clinic, a medical practice, or a veterinary practice, and we do not dispense medicines.

You must not describe, label, advertise, offer, resell or represent any product bought from us as any of the things listed above, or in any way that misstates what it is or its regulatory status, unless the specific product actually holds that status.

The products we sell are research chemicals supplied for laboratory use. They have not been evaluated or approved by the U.S. Food and Drug Administration, or by any comparable authority in any other country, for use in humans or animals. Nothing on the Site should be read as stating or implying that any product is approved, cleared, authorised, licensed or registered for any such use.

Regulatory status differs from material to material and from place to place. A compound that may lawfully be held for laboratory research in one jurisdiction may be restricted, controlled or prohibited in another. Determining the status of a material where you are, and whether your intended research is lawful there, is your responsibility and not ours. We do not give regulatory, legal or compliance advice, and no statement by us — including the fact that we accepted your order — is a representation that a material is lawful for you to possess or use.

Nothing on the Site is a claim that any product is safe or effective for any use in a human or an animal, or that it has any therapeutic, preventive, curative, restorative, cosmetic, performance or diagnostic effect.

Where a product page refers to a receptor, pathway, mechanism, model, published study or research literature, that reference describes what has been studied or measured in a research context. It is included so that a qualified researcher can identify and evaluate the material. It is not a recommendation, not evidence of benefit, and not a suggestion that anyone should use the material for any purpose other than in-vitro research.

We do not endorse, and expressly disclaim, any third-party statement — on a forum, a social network, a video, a marketplace listing, or anywhere else — that presents our products as suitable for human or animal use. If you encounter such a statement attributed to Theorys Labs, it is not authorised by us; please report it to support@theoryslabs.com.

Reviews and other content submitted by customers must comply with the same restriction. The Terms of Service and the Acceptable Use Policy prohibit user content that reports human or animal use or makes therapeutic claims, and we remove such content when we find it.

Nothing on the Site or in any communication from us is:

• medical, clinical or pharmaceutical advice;
• a diagnosis, or an aid to diagnosis;
• treatment advice, or a treatment protocol;
• dosing, dosage, cycle, protocol or titration advice;
• prescribing advice, or a substitute for a prescription;
• veterinary advice; or
• legal, regulatory or compliance advice.

We do not provide guidance on preparing, formulating or administering a material to any human or animal, and we will not answer questions of that kind. Requests for dosing or administration guidance are declined, and repeated requests may result in an order being cancelled and an account being closed.

If you have a health concern, speak to a licensed healthcare professional. For an animal, speak to a licensed veterinarian. Never disregard professional advice, or delay seeking it, because of something you read on this Site.

Once a product leaves our control, how it is handled and used is entirely your responsibility. By ordering you accept responsibility for all of the following:

• Legal compliance — determining and meeting every legal requirement that applies to your receipt, possession, use, storage, transfer, transport and disposal of the material, including federal, state, local, institutional and export-control requirements.
• Facilities — having laboratory facilities appropriate to the material, including suitable containment, ventilation and engineering controls.
• Hazard determination — evaluating the hazards of the material before use, and obtaining and reading any safety documentation you require. Research chemicals are frequently of unknown toxicity, and the absence of a stated hazard is not evidence of safety.
• Trained personnel — ensuring that only appropriately trained and supervised people handle the material, using appropriate personal protective equipment.
• Safe handling and storage — following accepted laboratory practice and any storage conditions stated for the material, and keeping it secured against access by anyone who is not authorised, and in particular by children.
• Research procedures — designing, validating and carrying out your own procedures, and independently verifying identity, purity, stability and suitability to the standard your research requires.
• Waste and disposal — disposing of materials, solutions and containers lawfully and safely.
• Onward transfer — not transferring a material to anyone who has not accepted the restrictions in this document, and never to anyone you believe may administer it to a human or animal.

Nothing we do — including accepting an order, answering a technical question, or providing a certificate of analysis — transfers any part of this responsibility to us or amounts to approval of your research.

Placing an order with Theorys Labs is your affirmative representation that:

• you are at least 21 years of age;
• you are a qualified researcher or professional, or you are purchasing on behalf of one, or on behalf of a laboratory or institution, and you are competent to handle the materials ordered;
• you are buying solely for lawful in-vitro laboratory research;
• you will not administer any product to, or allow it to be consumed by, any human or animal, and will not prepare it for that purpose;
• you will comply with all applicable law and with accepted laboratory practice; and
• you accept the restrictions and responsibilities in this document and in the Terms of Service.

You make these representations at three points: when you acknowledge the research-use notice presented on your first visit to the Site, when you create an account, and again at checkout, where your confirmations are recorded with the order. Those records — including which version of the wording you acknowledged and when — are retained as described in the Privacy Policy. A representation you cannot truthfully make is a reason not to order.

We may refuse to sell to anyone, and we do not have to give a reason. In particular, we may request further information, carry out proportionate verification, hold or delay fulfilment, reduce quantities, reject or cancel an order in whole or in part, and decline to serve you in future where we reasonably suspect that:

• a product may be administered to, or consumed by, a human or an animal;
• a product may be resold, repackaged, relabelled or supplied unlawfully, or supplied to someone who intends a prohibited use;
• a purchaser is under 21, is not a qualified researcher, or has given us inaccurate information;
• an order is inconsistent in size, mix or destination with in-vitro laboratory research; or
• an order would breach applicable law, including export-control or sanctions law.

Where we cancel an order that has already been paid for, we refund it as described in the Return & Refund Policy. Verification we choose to carry out is for our own protection; it is not a service to you, and no verification, or absence of it, shifts responsibility for lawful use away from you.
