Terms of Service

The binding agreement between Theorys Labs and everyone who uses theoryslabs.com or buys from it — eligibility, research-use restrictions, orders, payment, the final-sale rule, liability and dispute resolution.

For laboratory research use only

Products sold by Theorys Labs are intended exclusively for in-vitro laboratory research by qualified researchers and professionals. They are not for human consumption, animal consumption, medical use, veterinary use, diagnostic use, therapeutic use, administration to humans or animals, or any other in-vivo application.

1. Acceptance of These Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Theorys Labs LLC, which operates the Theorys Labs brand and the website at theoryslabs.com (the “Site”). In these Terms, “Theorys Labs,” “we,” “us” and “our” mean that entity, and “you” means the person or organisation using the Site.

You accept these Terms by doing any of the following: browsing or otherwise using the Site, acknowledging the research-use notice presented on your first visit, creating an account, adding a product to your cart, submitting an order, or accepting delivery of a product. If you do not agree to these Terms, do not use the Site and do not order from us.

These Terms incorporate the following documents by reference. They apply in full to your use of the Site and to every order you place, and you should read them as part of this agreement:

If any provision of an incorporated policy conflicts with these Terms, these Terms control, except that the Research Use Only Disclaimer controls on any question about what our products are, what they may be used for, and what claims may or may not be made about them.

If you are entering into these Terms on behalf of a company, institution, laboratory or other organisation, you represent that you are authorised to bind that organisation, and “you” refers to both you and that organisation.

2. Who May Use This Site

By using the Site or placing an order, you represent and warrant that all of the following are true:

  • Age. You are at least 21 years of age.
  • Capacity. You have the legal capacity to enter into a binding contract, and you are not barred from doing so under any applicable law.
  • Researcher qualification. You are a qualified researcher or professional, or you are purchasing on behalf of a qualified researcher, institution or laboratory, and you have the training, facilities and equipment appropriate to receive, handle, store, use and dispose of laboratory research materials safely and lawfully.
  • Research-only purpose. You are acquiring products solely for lawful in-vitro laboratory research, and not for any use prohibited by these Terms or the Research Use Only Disclaimer.
  • Lawful jurisdiction. Your receipt, possession and intended use of the products you order is lawful where you are located and where the products will be delivered and used.
  • Accurate information. Every piece of information you give us — including your name, email address, telephone number, billing address, shipping address and any information about your research use or affiliation — is accurate, current and complete, and you will keep it up to date.
  • Not a restricted party. You are not a person or entity with whom we are prohibited from dealing under applicable trade-control, sanctions or export-control law, including the sanctions and denied-party programmes administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control and the U.S. Department of Commerce, and you are not acting on behalf of any such person or entity.

The Site is intended for use by, and orders are accepted from, customers in the territories described in the Shipping Policy. We may decline to make the Site or any product available in any jurisdiction, at our discretion.

Prices are shown only to signed-in account holders. Creating an account requires the research-use acknowledgement described in section 9 and is subject to these Terms.

3. Research Use Only — The Controlling Restriction

For laboratory research use only.

Products sold by Theorys Labs are intended exclusively for legitimate in-vitro laboratory research by qualified researchers and professionals.

Products sold by Theorys Labs are not intended for, and must not be used for, any of the following:

  • human consumption;
  • animal consumption;
  • medical use;
  • veterinary use;
  • diagnostic use;
  • therapeutic use;
  • administration to humans or animals by any route; or
  • any other in-vivo application.

Products sold by Theorys Labs are not drugs, dietary supplements, foods, food additives, beverages, cosmetics, or medical devices, and must not be described, offered, resold, labelled or represented as any of those things unless a specific product actually holds that regulatory status. Nothing on the Site is a claim that any product diagnoses, treats, cures, mitigates or prevents any disease or condition, and you may not make or repeat such a claim in connection with our products.

You may not remove, obscure, alter or replace any label, lot or batch identifier, warning, or research-use designation that accompanies a product, and you may not transfer a product to anyone who has not agreed to the same restrictions.

This restriction is a material term of every sale. The Research Use Only Disclaimer states it in full, and it applies to you whether or not you have read it.

4. Product Information, Specifications and Certificates of Analysis

Product pages may describe a compound’s identity, sequence, molecular formula, mass, purity as measured by a stated analytical method, presentation, lot or batch identifier, storage guidance, and other specifications, and may make a certificate of analysis available for a given lot. This information is provided to help a qualified researcher evaluate a material for laboratory use.

Scientific and product information on the Site — including references to receptors, pathways, mechanisms, published research or research models — is presented for informational and research purposes only. It is a description of what has been studied or measured, not a recommendation, and it is not:

  • medical, clinical, veterinary or pharmaceutical advice;
  • a statement of safety or efficacy in humans or animals;
  • dosing, reconstitution-for-administration, or administration guidance; or
  • a claim of any therapeutic, preventive or diagnostic effect.

We take reasonable care with product information, but we do not warrant that descriptions, specifications, images, purity figures, availability, pricing or other content on the Site are accurate, complete, current or error-free. Product images may be illustrative and may not depict the exact presentation, fill, label or packaging you receive. Analytical results describe the lot tested and are not a guarantee of any particular result in your laboratory.

We may correct errors, change or discontinue products, change specifications and update certificates of analysis at any time without notice. Where an error materially affects an order you have already placed, we may cancel the affected order or line item and refund it as described in section 5.

You are responsible for independently confirming, before use, that a material is suitable for your intended research, and for verifying identity, purity and stability to the standard your research requires.

5. Orders, Pricing, Payment and Taxes

Orders are offers. Submitting an order is an offer to buy, not a completed contract. No order is accepted, and no contract of sale is formed, until we accept it — which happens when we dispatch the products, unless we tell you otherwise in writing. An automated order confirmation acknowledges receipt of your order; it is not acceptance of it.

We may decline or cancel an order. We may refuse, limit, reduce the quantity of, delay, or cancel any order in whole or in part, before or after an order confirmation, at our discretion and for any lawful reason. Reasons include suspected prohibited use, failed or incomplete verification under section 9, quantities inconsistent with laboratory research use, suspected fraud or payment irregularities, ordering restrictions in a jurisdiction, product unavailability, pricing or description errors, or a prior breach of these Terms. If we cancel a paid order, we refund the amount charged for the cancelled items to the original payment method.

Pricing. Prices are shown in U.S. dollars and may change at any time. Prices are visible only to signed-in account holders. Volume or bundle pricing, where offered, applies as shown at the time of checkout. If a product is listed at an incorrect price, or with incorrect pricing information because of a typographical, systems or third-party error, we may cancel or correct the affected order even if it has been confirmed.

Payment. You must pay in full at checkout using a valid payment method that you are authorised to use. By submitting payment information you authorise us and our payment processor to charge the total shown, including products, shipping and any applicable taxes or fees. Payment card processing is performed by a third-party payment processor; see section 15 and the Privacy Policy for how payment information is handled.

Taxes and duties. You are responsible for all sales, use, excise and similar taxes, and for any duties, brokerage or import charges applicable to your order, except taxes on our net income. Where we are required to collect tax, it is calculated and shown at checkout. Where we are not, you remain responsible for any tax you owe. Tax treatment may change and is applied as configured at the time of checkout.

Fraud prevention. We and our payment processor may screen orders for fraud and risk, may request additional verification before releasing an order, and may cancel an order that does not pass that screening.

6. Shipping, Title and Risk of Loss

Shipping destinations, processing times, carriers, rates, tracking and the handling of lost, damaged, refused or undeliverable shipments are governed by the Shipping Policy, which is part of these Terms.

Unless we state otherwise in writing, shipments are made F.O.B. our dispatch point: title to the products and risk of loss or damage pass to you when we tender the shipment to the carrier. After that point, transit is the carrier’s performance, not ours, and filing a transit claim is your responsibility. This does not limit the damage-on-arrival exception described in the Return & Refund Policy, or the optional shipping insurance if you bought it.

You are responsible for the accuracy of the shipping address you provide, for the ability of the receiving location to lawfully accept laboratory research materials, and for storing products appropriately on arrival. Delivery estimates are estimates, not guarantees.

7. All Sales Are Final

All sales are final. We do not accept returns or exchanges, and we do not issue refunds — not for a change of mind, not for an order placed incorrectly, and not for any reason other than the two limited exceptions described below. This is section 6 of the Terms of Sale and Research Use Attestation, the agreement your account signs before it can order, and that agreement controls. The Return & Refund Policy explains the same rule in full and is part of these Terms.

There is no right to cancel. Submitting an order is an offer to purchase; once we accept it and take payment the sale is final. Where an order has not yet been tendered to the carrier we may cancel or amend it as a matter of discretion if you ask, but that is goodwill and not an entitlement.

The two exceptions. We will replace or refund a product, at our sole option, where it arrived with material damage to its outer packaging or primary container, or where it materially fails to conform to the identity or purity specification on its certificate of analysis for the applicable lot. Any such claim must reach support@theoryslabs.com within three (3) calendar days of delivery with the order number and clear photographic evidence, or it is waived. Product that has been opened, reconstituted, altered, mishandled, stored outside stated conditions or transferred to a third party is not eligible. These are your sole and exclusive remedies for the condition or conformity of any product.

Money back where we do not supply the order. Separately from those exceptions, we refund where we cancel an order after payment, where an ordered item is unavailable, and where an order is placed for delivery outside the United States. Risk of loss passes when we tender a shipment to the carrier, so a transit loss is a claim against the carrier rather than a refundable sale, unless you added the optional shipping insurance at checkout.

8. Chargebacks and Payment Disputes

If something is wrong with your order — it has not arrived, it arrived damaged, or you received the wrong item — contact us first at support@theoryslabs.com. Most issues are resolved faster directly than through a card dispute, and the Return & Refund Policy sets out what we will do. You agree to give us a reasonable opportunity to resolve a legitimate order problem before asking your bank or card issuer to reverse the payment, to the extent that requirement is enforceable where you live. Nothing in these Terms limits any right you have under law, your card network’s rules, or your cardholder agreement to dispute a charge.

Initiating a dispute is not, by itself, wrongful, and we do not treat it as such. What is a breach of these Terms is dishonest conduct in connection with a payment — for example, disputing a charge for an order you placed and received while representing to your bank that you did not authorise it or did not receive it, using a payment method you are not authorised to use, or supplying false information to us or to your card issuer.

Where we reasonably conclude that a dispute is dishonest, we may suspend or close your account, cancel pending and future orders, decline to serve you in future, recover amounts owed to us (including through collection or legal action) to the extent permitted by law, and report the matter to our payment processor, the card network or law enforcement. Where a dispute turns out to be a genuine mistake or misunderstanding, we will simply resolve it.

9. Researcher Qualification, Intended Use and Verification

Each time you place an order you represent and warrant that:

  • you are a qualified researcher or professional, or are purchasing for one, and are competent to handle the materials ordered;
  • the products will be used solely for lawful in-vitro laboratory research;
  • the products will not be administered to, or consumed by, any human or animal, and will not be prepared, formulated, repackaged, compounded or supplied for that purpose;
  • you will store, handle and dispose of the products in accordance with applicable law and accepted laboratory practice; and
  • you will not transfer the products to anyone who has not agreed to these restrictions.

You make these representations when you acknowledge the research-use notice on the Site, when you create an account, and again at checkout, where the confirmations are recorded with your order. Those records — including the version of the wording you acknowledged and the time it was acknowledged — are retained as described in the Privacy Policy.

Where we reasonably suspect that a product may be used in a way these Terms prohibit, or that a representation you have made is inaccurate, we may:

  • request additional information about you, your organisation or your intended research;
  • carry out proportionate verification of the information you have given us;
  • hold or delay fulfilment while we do so;
  • reject or cancel an order in whole or in part;
  • limit quantities; and
  • decline to accept orders from you in future.

We are not obliged to verify anything, and no verification we do — or do not do — transfers any part of your responsibility for lawful use to us, or amounts to approval of your research. We may decline an order without giving reasons.

10. Regulatory and Legal Compliance

You are solely responsible for complying with every law, rule and requirement that applies to your receipt, possession, handling, use, storage, transfer, transport and disposal of the products you order, and for determining what those requirements are. This includes, as applicable to you:

  • federal, state, provincial, local and institutional law and regulation;
  • laboratory safety, biosafety and chemical-hygiene requirements, and the rules of any institution, facility or employer whose premises or equipment you use;
  • occupational health and safety and hazard-communication requirements;
  • storage, containment, labelling and record-keeping requirements;
  • waste-handling and disposal requirements; and
  • export control, sanctions, denied-party and re-export restrictions, including those administered by the U.S. Department of Commerce and the U.S. Department of the Treasury’s Office of Foreign Assets Control.

Products sold by Theorys Labs are research chemicals supplied for laboratory use. They have not been evaluated or approved by the U.S. Food and Drug Administration or any comparable authority for use in humans or animals, and they are not approved to diagnose, treat, cure, mitigate or prevent any disease. Regulatory status varies by material and by jurisdiction: some materials that are lawful to possess for research use in one place are restricted in another. It is your responsibility, not ours, to determine the status of a material where you are and to confirm that your intended research is lawful there. We do not provide regulatory, legal or compliance advice.

You must not use the Site or our products to evade any legal restriction, and you must not misrepresent the nature or intended use of a product to us, to a carrier, to a payment provider, or to any authority.

You will determine, before use, the hazards of any material you order, obtain and read the safety information applicable to it, and ensure that only appropriately trained personnel handle it using appropriate engineering controls and protective equipment.

11. Prohibited Uses

You must not do any of the following, and must not permit or assist anyone else to do any of the following, with any product bought from Theorys Labs:

  • ingest, swallow or otherwise consume it;
  • inject it into any human or animal;
  • inhale, insufflate, vaporise or nebulise it;
  • apply it topically or transdermally to any person or animal;
  • implant, instil or introduce it into any human or animal by any other route;
  • administer it to any human or animal by any route, whether or not the recipient consents;
  • use it in human experimentation or in any human or veterinary clinical, diagnostic or treatment activity;
  • use it in a live animal, including in any veterinary or in-vivo application;
  • prepare, dilute, reconstitute, compound, formulate, fill, repackage or relabel it for administration to, or consumption by, any human or animal;
  • resell, distribute, export or supply it unlawfully, or in any way that conceals its research-only status from the recipient;
  • relabel or re-describe it as a drug, supplement, food, cosmetic or medical device, or in any other way that misstates what it is or its regulatory status;
  • make or repeat any therapeutic, medical, preventive, curative or diagnostic claim about it;
  • remove, deface, obscure or alter any label, lot or batch identifier, warning or research-use designation; or
  • use it in, or in connection with, any unlawful activity.

Conduct on the Site itself — automated access, account and payment abuse, prohibited content, interference and attacks — is governed by the Acceptable Use Policy. A breach of that policy is a breach of these Terms.

Any breach of this section is a material breach of these Terms and may result in immediate cancellation of your orders, suspension or closure of your account, refusal of future service, and any other remedy available to us at law.

12. Accounts and Account Security

Some parts of the Site, including pricing and checkout, require an account. You must provide accurate registration information, keep it current, and complete the research-use acknowledgement required at registration.

You are responsible for your credentials and for everything done through your account. Keep your password confidential, use a password you do not use elsewhere, and tell us promptly at support@theoryslabs.com if you believe your account has been accessed without your authorisation. We are not liable for loss arising from unauthorised use of your account, except to the extent the law does not permit that exclusion.

Accounts are for the named account holder and the organisation on whose behalf they order. You may not share your credentials, let another person order through your account as if they were you, transfer or sell your account, or maintain multiple accounts to evade a restriction, a quantity limit, a promotion’s terms, or a suspension.

We may suspend, restrict or close an account at any time, with or without notice, including where we reasonably suspect a breach of these Terms, prohibited use, inaccurate information, or fraudulent or unlawful activity. Closing an account does not affect obligations that have already accrued.

13. Intellectual Property

The Site and its contents are owned by us or our licensors and are protected by copyright, trademark and other laws. Protected material includes, without limitation: the Theorys Labs and Theorys names, wordmark, logo and other brand identifiers; the design, layout, structure and “look and feel” of the Site; all website copy, product page text, category descriptions, frequently-asked-question content, and other written content; photography, illustrations, icons and other graphics; the selection, arrangement and compilation of the product catalogue and any database of product, specification or analytical information; certificates of analysis and other documents to the extent we own or are licensed to use them; and the website, theme and software code that runs the Site.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access the Site and to view, download and print its content for the internal, non-commercial purpose of evaluating and buying products for your research. That licence does not permit you to: copy, republish, distribute, sell, licence or exploit any part of the Site; create derivative works from it; use our brand identifiers, or any confusingly similar mark, without our prior written permission; systematically extract, scrape or compile our catalogue, pricing or analytical data; use our content to train, fine-tune or evaluate a machine-learning model without our prior written permission; or remove any copyright, trademark or other proprietary notice.

Third-party names, marks and product designations that appear on the Site are the property of their respective owners. Where a compound is referred to by a name that is a third party’s trademark, that reference is descriptive — it identifies the chemical entity being offered for research use — and does not imply any affiliation with, sponsorship by, or endorsement from the mark’s owner.

All rights not expressly granted are reserved. Copyright complaints are handled under the DMCA Copyright Policy.

14. User Content

“User content” means anything you submit to or through the Site or to us — product reviews, ratings, comments, questions, images, and messages to support.

You keep ownership of your user content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, adapt for formatting, publish, display and distribute it in connection with operating and promoting the Site and our business, for as long as you leave it posted and for a reasonable period afterwards. You warrant that you own or control the rights to your content, that it is accurate to the best of your knowledge, and that it does not infringe anyone’s rights or breach any law or obligation of confidence.

User content must not:

  • state or imply that a product is safe or effective for use in humans or animals;
  • describe, recommend, request or ask about ingestion, injection, inhalation, topical use, dosing, dosage protocols, cycles, stacks, administration, or preparation of a product for administration to any human or animal;
  • make any therapeutic, medical, preventive, curative or diagnostic claim, or report personal or third-party human or animal use;
  • be unlawful, misleading, defamatory, harassing, threatening, hateful, obscene, or invasive of anyone’s privacy;
  • impersonate any person or organisation, or misrepresent your affiliation; or
  • contain advertising, spam, malware, or another party’s confidential information.

We are not obliged to review, publish or keep user content, and we may moderate, edit for length or formatting, decline to publish, or remove any submission at our discretion. Removing content is not a judgement about you, and leaving content up is not our endorsement of it: user content is the view of the person who wrote it, not of Theorys Labs.

If you send us an idea, suggestion or feedback about our products or the Site, we may use it without restriction, attribution or compensation.

15. Third-Party Services and Links

Running the Site depends on third-party services. As implemented at the last updated date of these Terms, they are:

  • Payment processing. Card payments are processed by Clover, through the Clover payment integration for our store platform. Card details are entered into payment fields served by the processor and are transmitted to it directly.
  • Store platform. The Site runs on WordPress with the WooCommerce e-commerce platform (Automattic Inc.), self-hosted on infrastructure we control. Account registration and sign-in are handled by that platform; we do not use a third-party authentication provider.
  • Hosting. The Site is hosted on a virtual private server at DigitalOcean, LLC and served directly from that server. We do not place a third-party content delivery network in front of the Site.
  • Web fonts. Typefaces are loaded from Google’s font service (Google LLC), which receives the network request that loads them.
  • Platform usage statistics. Our store platform’s usage-tracking option is currently enabled, which sends non-personal store configuration and usage data to Automattic.
  • Delivery. Orders are carried by third-party carriers, as described in the Shipping Policy.
  • Email. Order and account emails are sent from our server infrastructure.

As implemented at that date, the Site does not use third-party web analytics, advertising or social-media pixels, session-recording tools, or a third-party email or SMS marketing platform. If that changes, we will update this section, the Privacy Policy and the Cookie Policy.

Third-party services are provided by their own providers under their own terms and privacy policies. We do not control them and are not responsible for their acts or omissions, availability, or content. The Site may also link to third-party websites; we do not endorse them and are not responsible for them. Follow those links at your own risk and read those sites’ own terms.

16. Disclaimer of Warranties

To the maximum extent permitted by law:

The site and all products, content and services are provided “as is” and “as available,” without warranty of any kind.

We disclaim all warranties, whether express, implied, statutory or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade. In particular, and without limiting the above, we do not warrant that:

  • a product will be suitable, fit or effective for your research, your protocol, your instrumentation, or any particular purpose;
  • a product will produce any particular result, yield, activity or measurement;
  • product descriptions, specifications, purity figures, analytical results, images or other Site content are accurate, complete, current or error-free;
  • a product is safe for any use in or on a human or animal — no such use is permitted, and we make no representation about it whatsoever; or
  • the Site will be uninterrupted, timely, secure, or free of errors, viruses or other harmful components.

No advice or information, whether oral or written, obtained from us or through the Site creates any warranty not expressly stated in these Terms. Because our products are supplied for research use, their performance depends on your facilities, methods, handling and storage, which we do not control.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only to the extent permitted, and you may have rights that these Terms cannot limit.

17. Limitation of Liability

To the maximum extent permitted by law:

Neither Theorys Labs nor its owners, officers, employees, contractors, suppliers or agents is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, loss of research, cost of substitute goods, business interruption, or damage to reputation, arising out of or relating to the Site, any product, or these Terms, whether based in contract, tort (including negligence), strict liability, warranty or any other theory, and whether or not we were advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the Site, any product, or these Terms is limited to the greater of (a) the amount you paid us for the products giving rise to the claim, and (b) one hundred U.S. dollars.

We are not liable for any loss, injury, illness, death, damage, penalty, regulatory action or other consequence arising from any use of a product that these Terms or the Research Use Only Disclaimer prohibit, including administration to or consumption by any human or animal, whether by you or by anyone to whom you supply a product.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by our negligence where the applicable law does not permit that exclusion. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, the limits above apply to the fullest extent permitted.

You acknowledge that the warranty disclaimers and liability limits in these Terms are a material part of the bargain between us, that they reflect an allocation of risk that is reasonable for the sale of research materials at these prices, and that we would not sell to you on these terms without them. These limits apply even if a remedy fails of its essential purpose.

18. Indemnification

You agree to defend, indemnify and hold harmless Theorys Labs and its owners, officers, employees, contractors, suppliers and agents from and against any claim, demand, investigation, proceeding, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or relating to:

  • your breach of these Terms or any incorporated policy;
  • your breach of any representation or warranty you make, including about your age, researcher qualification, or intended use;
  • your use, handling, storage, transfer, transport or disposal of any product;
  • any administration of a product to, or consumption of a product by, any human or animal, whether by you or by anyone who obtained it from you;
  • your violation of any law or regulation, including export-control, sanctions and controlled-substance law;
  • your user content; or
  • your negligence or wilful misconduct.

We may assume the exclusive defence and control of any matter subject to indemnification, at your expense, and you agree to cooperate with our defence. You will not settle any matter in a way that imposes an obligation or admission on us without our prior written consent.

19. Dispute Resolution and Governing Law

These Terms, and any dispute arising out of or relating to them, the Site, or your order, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Informal resolution first. Before either of us begins formal proceedings, the party raising the dispute must give the other written notice describing it and a genuine opportunity to resolve it. Neither of us may begin proceedings until 30 days after that notice is given.

Courts, not arbitration. Disputes are resolved in court. You and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Bexar County, Texas, and each of us waives any objection to venue in those courts. These Terms contain no arbitration clause and no class-action waiver.

Talk to us first. Whatever the eventual dispute-resolution framework, we ask that you raise any dispute with us before starting formal proceedings, by writing to support@theoryslabs.com with your name, order number if any, and a description of the problem and the resolution you want. Most disputes can be resolved this way, and we will engage in good faith to do so.

Nothing in this section prevents either of us from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information, or from bringing an individual claim in a small-claims court where the claim qualifies.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

20. Force Majeure

We are not liable for any delay in or failure of performance caused by circumstances beyond our reasonable control, including acts of God, fire, flood, severe weather, earthquake, epidemic or pandemic, war, civil unrest, terrorism, strike or labour dispute, government action or order, embargo, sanctions, carrier delay or failure, failure of utilities, telecommunications or internet service, hosting or payment-provider outage, cyber-attack, and shortage or unavailability of materials, components or transport.

Where such an event delays performance, our obligations are suspended for its duration. Where it prevents us from fulfilling an order altogether, we may cancel the affected order and refund amounts paid for the products we cannot supply.

21. Assignment

You may not assign or transfer these Terms, or any right or obligation under them, without our prior written consent; any attempt to do so is void. We may assign or transfer these Terms, in whole or in part, without restriction, including to an affiliate or in connection with a merger, acquisition, reorganisation or sale of assets. These Terms bind and benefit the parties’ permitted successors and assigns.

22. Severability

If any provision of these Terms is held unenforceable or invalid, that provision will be enforced to the greatest extent permitted, or, if it cannot be, severed and treated as removed. The remaining provisions stay in full force. Severance of one provision does not affect the enforceability of the rest of the agreement.

23. Entire Agreement; Headings

These Terms, together with the policies incorporated by reference in section 1 and any additional terms you accept for a specific offer or programme, are the entire agreement between you and us about the Site and your purchases, and supersede all earlier or contemporaneous understandings, communications, proposals and representations on that subject. Section headings and numbering are for convenience only and do not affect interpretation.

Additional terms presented for a specific product, promotion, bundle or programme apply in addition to these Terms and, where they conflict, control for that offer only.

24. No Waiver

No failure or delay by us in exercising a right under these Terms waives that right, and no single or partial exercise of a right prevents its further exercise. A waiver is effective only if we give it in writing, and it applies only to the specific instance and purpose stated. Our decision not to enforce a provision on one occasion is not a waiver of it on another.

25. Modifications to These Terms

We may change these Terms at any time. When we do, we update the “last updated” date shown on this page, and the revised Terms take effect when posted. For material changes we will take reasonable steps to give additional notice, which may include a notice on the Site, a re-presented acknowledgement, or an email to account holders.

Your continued use of the Site after a change takes effect, and any order you place after that point, is your acceptance of the revised Terms. The Terms in force when you place an order govern that order. If you do not accept a change, stop using the Site and do not place further orders.

26. Termination and Suspension

We may suspend or terminate your access to the Site or to your account, refuse or cancel orders, and stop serving you, at any time and with or without notice, including where we reasonably believe you have breached these Terms, where a prohibited use is suspected, or where we discontinue the Site or a product line. You may stop using the Site at any time and may ask us to close your account by writing to support@theoryslabs.com.

Termination does not affect any right, obligation or liability that has already accrued. The following survive termination: sections 3 (Research Use Only), 8 (Chargebacks and Payment Disputes), 10 (Regulatory and Legal Compliance), 11 (Prohibited Uses), 13 (Intellectual Property), 14 (User Content), 16 (Disclaimer of Warranties), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution and Governing Law), and 21 to 24, together with any other provision that by its nature should survive.
